1. Agreement to Terms

By accessing or using the CenturySync platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including condominium association board members, unit owners, residents, and property managers.

2. Description of Service

CenturySync provides a cloud-based condominium association management platform designed for Florida COAs, including but not limited to:

  • Document storage and management
  • Communication tools for boards and residents
  • Compliance tracking and deadline reminders
  • Maintenance request management
  • Mobile applications for iOS and Android
  • Public-facing community websites

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for safeguarding the password used to access the Service and for any activities under your password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service:

  • In any way that violates applicable federal, state, local, or international law
  • To transmit any material that is defamatory, obscene, or otherwise objectionable
  • To impersonate or attempt to impersonate another user or person
  • To engage in any conduct that restricts or inhibits anyone's use of the Service
  • To attempt to gain unauthorized access to any portion of the Service
  • To upload or transmit viruses or other malicious code

5. Content and Data

Your Content

You retain ownership of any content you upload to the Service. By uploading content, you grant us a license to use, store, and process that content to provide the Service to you and your association.

Association Data

Data uploaded to the Service on behalf of a condominium association remains the property of that association. Access to association data is governed by the association's bylaws and applicable Florida law.

Data Export

Upon termination of service, associations may request an export of their data in a commonly used format. We will provide data exports within a reasonable timeframe.

6. Fees and Payment

Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice to subscribers. Fees are billed monthly and are non-refundable except as required by law.

Failure to pay fees may result in suspension or termination of access to the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that results obtained from use of the Service will be accurate or reliable.

8. Limitation of Liability

IN NO EVENT SHALL CENTURYSYNC, APIRUCK LLC, OR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

CenturySync is not a law firm. All content provided through the Service, including AI-powered tools, compliance tracking, and document management features, is for informational purposes only and does not constitute legal advice. Users should consult with a licensed attorney for legal matters affecting their condominium association.

10. Indemnification

You agree to defend, indemnify, and hold harmless CenturySync, Apiruck LLC, and its licensees, employees, contractors, agents, officers, and directors from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

Either party may terminate service with 30 days' written notice. Associations may request data export prior to termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in courts located in Palm Beach County, Florida.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be communicated with at least 30 days' notice. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
